#SBUXWORKBFF CONTEST Official Contest Rules (the “Rules”)

  1. The sponsor of this contest is PepsiCo Canada ULC (the “Contest Sponsor”).

 

  1. The Contest is open to residents of Canada who are age of majority or older in their province/territory of residence at the time of entry and who work in the downtown regions of Toronto, Ontario or Vancouver, British Columbia as set out below (the “Contest Regions”). Employees of the Contest Sponsor and members of their immediate families, the Contest Sponsor’s affiliated companies, representatives and agents prize suppliers, any other companies engaged in the development, production, or distribution of materials for this Contest, are not eligible to enter.

  1. CONTEST PERIOD, HOW TO ENTER AND NO PURCHASE NECESSARY. The Contest will commence in the Contest Regions at 12:01am EST on June 17, 2015 and will run until 11:59pm EST on June 17, 2015. To enter, take a photo of yourself or of you with your workplace best friend*, together with a Starbucks® ready to drink coffee beverage and share it on Twitter or Instagram with the hashtag #SBUXWORKBFF (an “Entry”). All Entries must be shared by 11:59pm EST on June 17, 2015. You may enter as many times as you wish but each Entry must be of a unique photo. Copied or mechanically reproduced Entries are not accepted. The Contest Sponsor will not be responsible for lost, misdirected, or incomplete Entries.

 

PHOTO REQUIREMENTS. In order be eligible, the photo used in the Entry must comply with the following:

 

  • must be the original work of the entrant produced for this Contest;
  • must not have been entered in or won previous contests or awards;
  • must not have been published previously in any medium; it must not infringe on any party’s intellectual property, including but not limited to copyright, trademark or right of privacy of publicity or any other rights;
  • must have permission of any third parties to use their image and likeness for this Contest;
  • must be suitable for display and publication on any social media platform worldwide (e.g. it may not be obscene or indecent, including but not limited to nudity or profanity); it must not contain obscene or pornographic material, it must not contain defamatory statements or messages (including but not limited to words, images, or symbols that are widely considered offensive to individuals of a certain race, ethnicity, religion, sexual orientation or socioeconomic or other group), it must not include threats to any person, place, business, group or world peace, it must not invade privacy or other rights of any person, firm or entity, and it must not in any other way violate applicable laws and regulations; and
  • must not feature alcohol products, tobacco products (including cigarettes, cigars, pipe tobacco, chewing tobacco, electronic cigarettes, and snuff), contraceptives, feminine hygiene products, fireworks, firearms and ammunitions, prescription drugs, illegal drugs and related drug paraphernalia, nutritional supplements, lotteries and gambling (including horse or dog racing and products or services related to gambling).

 

If in the Contest Sponsor’s determination it is necessary or advisable to make minor, non-material adjustments to an otherwise compliant Entry to comply with the Contest requirements, the Contest Sponsor may, in its sole discretion, elect to do so, or may ask the applicable entrant to do so.

 

*ENTRANT MUST HAVE PERMISSION OF BFF TO USE HIS/HER IMAGE.

 

  1. There are two (2) prizes available to be won (each a “Prize”), one (1) in the Toronto Region and one (1) in the Vancouver Region. Each Prize consists of Starbucks® ready to drink coffee beverages for winner between fifty (50) to three hundred (300) colleagues at winner’s place of business. Each Prize has an approximate retail value of eight hundred dollars ($800). Prize must be accepted as awarded, cannot be substituted, transferred, exchanged or surrendered for cash, except at the sole and absolute discretion of the Contest Sponsor, which reserves the right, at its sole and absolute discretion and for any reason, to award a substitute prize of equal or greater value, including a cash award.

 

  1. Random draws will be conducted on June 19, 2015 to select one (1) entry from among all eligible entries received at that location. Odds of winning depend upon the total number of eligible entries received in each Contest Region.

 

  1. HOW TO CLAIM A PRIZE. Each selected entrant will be notified by direct message on the social media platform used to share the Entry and instructed how to claim his/her Prize. To be declared a winner, each selected entrant must correctly answer a required mathematical skill-testing question, sign the Contest Sponsor’s form of Declaration of Compliance and Release, and otherwise comply with the Rules. Awarding of a Prize is subject to verification and compliance with the Rules. The potential winner may be required to furnish proof of identification that may include a driver’s license or other form of picture identification as part of the verification process. Entrants who have not complied with the Rules will be disqualified. If a selected entrant cannot be located or does not respond within two (2) days of notification, the entrant will be disqualified, forfeits the Prize and the Contest Sponsor may, at its sole and absolute discretion, select by random draw another eligible entrant whom the Contest Sponsor or its representatives will attempt to contact, and who will be subject to disqualification, in the same manner. The Contest Sponsor will not be responsible for failed attempts to notify a selected entrant.

 

WINNER IS RESPONSIBLE FOR OBTAINING WRITTEN PERMMISSION FROM HIS/HER EMPLOYER TO HAVE PRIZE DELIVERED TO PLACE OF BUSINESS. IF THIS PERMISSION IS NOT OBTAINED, PRIZE WILL BE FOREFEITED AND WINNER WILL RECEIVE 2 CASES OF STARBUCK® READY TO DRINK COFFEE BEVERAGES IN FULL SATISFACTION OF THE PRIZE AWARD. CONTEST SPONSOR RESERVES THE RIGHT, IN ITS SOLE DISCRETION, TO REFUSE PROVIDING A PRIZE IF A WINNER IS EMPLOYED BY A COMPETITOR ORGANIZATION.

 

  1. ADDITIONAL CONDITIONS OF PARTICIPATION. By participating in this Contest, entrant accepts and agrees to these Rules and all decisions of the Contest Sponsor, which shall be final and legally binding on entrant in all matters relating to this Contest. All entries become the property of the Contest Sponsor and will not be returned. In order to be confirmed a winner and receive a Prize, each selected entrant will be required to sign the Contest Sponsor’s form of Declaration of Compliance and Release which confirms compliance with these Contest Rules and releases the Contest Sponsor and its respective affiliated companies, agencies, Contest Prize suppliers and their respective officers, directors, employees and agents from all liability with respect to the entrant’s participation in this Contest and the awarding, use/misuse of the Prize. Each winner agrees to the use of his/her name, city/province of residence, comments, photograph, voice and other likeness for publicity purposes, and grants to the Contest Sponsor any and all rights to said use without further notice or compensation.

 

  1. LIMITATION OF LIABILITY. By entering this Contest, each winner acknowledges and agrees that the Contest Sponsor, its respective affiliates, agencies, Contest Prize suppliers, and their respective officers, directors, employees and agents (collectively, the  “Contest Group”): (i) shall have no liability of any kind whatsoever with respect to this Contest and/or the awarding, use or misuse of any of the Prizes, (ii) make no warranty, guaranty or representation of any kind concerning any Prize, (iii) disclaim any implied warranty, and (iv) are not liable for injury, loss or damage of any kind resulting from the winner’s acceptance, use or misuse of any Prize or otherwise from such entrant’s participation in this Contest. The Contest Group is not responsible for typographical or other errors in the offer or administration of this Contest, including but not limited to errors in advertising, the Rules, the selection and announcement of winners, or the distribution of the Prizes.

 

  1. By submitting an entry, entrant agrees to indemnify and hold harmless the Contest Sponsor, its respective parent, subsidiaries, affiliates, successors, licensees, and assigns, and each of their directors, officers, agents, equity holders and employees, from and against any and all claims, losses, costs, damages, liabilities and costs and expenses (including reasonable legal fees) which may arise out of any breach of any of covenants, agreements, terms, obligations, representations or warranties set forth herein.

 

  1. RIGHT TO TERMINATE, MODIFY OR SUSPEND. The Contest Sponsor may at any time, at its sole discretion and without liability, terminate, modify or suspend the Contest in whole or in part, subject only to approvals required by law, if fraud, technical failures or communications or any other errors or other causes beyond the control of the Contest Sponsor corrupt the administration, integrity or security of the Contest or if any other factor interferes with the conduct of this Contest as contemplated by these Rules. Without restricting the generality of the foregoing, in the event of early termination of the Contest, a notice will be posted on notabale.ca to that effect.  In addition, for the purposes of determining eligibility to win a Prize in the event of early termination of the Contest, all eligible entries received prior to the time of early termination will be considered as valid and for the purposes of these Official Contest Rules, the Contest Period will be deemed to have ended at the moment of early termination. The Contest Sponsor reserves the right, at any time, in its sole discretion, to correct any errors, including without limitation, any typographical, printing, computer programming or operator errors. The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision.  If any provision of these Rules is found to be invalid or unenforceable under applicable law, then it shall be, to the extent invalid or unenforceable, deemed omitted and the remaining provisions will continue in full force and effect.  No waiver on the part of the Contest Sponsor to enforce of any term herein shall be deemed a continuing waiver or a waiver of any other term.

 

  1. PERSONAL INFORMATION. Unless entrants otherwise indicate, the personal information gathered about entrants in the course of this Contest will be used solely by the Contest Sponsor for the administration of the Contest and in connection with any publicity relating to the Contest. Personal information maintained by the Contest Sponsor and its agents for the purposes of this Contest may be kept on servers outside of Canada. By entering the Contest, you consent to such collection and use.
